These Terms of Service and Conditions of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and MyoStudyBuddy ("MyoStudyBuddy", "Company", "we", "us", or "our").

These Terms govern your access to and use of the MyoStudyBuddy website, educational materials, tutoring services, digital content, communities, courses, and all related services (collectively referred to as the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must discontinue use of the Services immediately.

MyoStudyBuddy operates as an online educational support platform. The business provides digital educational services and does not maintain a public physical storefront location. Services are delivered online through digital platforms.

By accessing the website, enrolling in tutoring services, purchasing educational materials, participating in communities, or using any services offered by MyoStudyBuddy, you agree to be legally bound by these Terms.

These Terms apply to all users of the platform including but not limited to visitors, students, tutoring participants, course purchasers, community members, subscribers, and any individual who accesses or interacts with the Services.

MyoStudyBuddy reserves the right to modify, update, or replace any part of these Terms at any time without prior notice. Changes will be posted on this page with an updated effective date. Your continued use of or access to the Services following the posting of any changes constitutes your acceptance of those changes. It is your responsibility to review these Terms periodically. If you do not agree with any updated Terms, you must discontinue use of the Services immediately.

MyoStudyBuddy may deliver official notices to you by means of email, a general notice posted on the website, or by another reliable method to the contact address you have provided. It is your responsibility to maintain accurate and current contact information with MyoStudyBuddy.

MyoStudyBuddy provides educational support tools and learning resources designed to assist students and professionals in studying and reviewing academic material.

Services may include but are not limited to:

Tutoring sessions conducted individually or in groups

Study guides and educational summaries

Mock examinations

Mock case studies and exam practice stems

Educational notes and study references

Online courses and digital learning programs

Recorded tutoring sessions or recorded educational sessions

Workshops, webinars, and learning events

Subscription or membership-based learning services

Downloadable digital educational materials

Community discussion groups and learning forums

Digital educational tools, learning software, or mobile applications that may be introduced in the future

Services may be delivered through digital platforms including but not limited to LearnWorlds, Google Classroom, Skool, Stripe, video conferencing platforms, and other platforms used now or in the future to deliver educational content.

MyoStudyBuddy reserves the right to modify, expand, suspend, or discontinue any Service at any time without prior notice and without liability to you.

Users must be at least 18 years of age to purchase or access services through MyoStudyBuddy.

Where a parent or legal guardian purchases services on behalf of an adult student, the purchasing individual confirms that the student is 18 years of age or older and that both parties agree to be bound by these Terms.

By using the Services you represent and warrant that you have the legal capacity to enter into a binding agreement and that all information you provide to the platform is accurate and truthful. Users agree to comply with all applicable laws and regulations when using the Services.

All materials and Services provided by MyoStudyBuddy are intended solely for educational and informational purposes.

The Services are designed to support studying and learning but do not replace accredited educational programs, formal training, clinical supervision, professional licensing requirements, or institutional education.

Users remain solely responsible for ensuring that they meet the academic and professional requirements imposed by their educational institutions, certification bodies, or licensing authorities. MyoStudyBuddy accepts no responsibility for any failure to meet those requirements.

Nothing provided by MyoStudyBuddy constitutes medical advice, healthcare advice, clinical direction, diagnosis, treatment, or therapeutic recommendations of any kind.

Use of the Services does not create a therapist-client relationship, clinician-patient relationship, or any form of professional advisory relationship between MyoStudyBuddy and the User.

Users are responsible for ensuring that any knowledge, techniques, or educational material learned through the platform are used only within the scope of their legal training and professional qualifications. MyoStudyBuddy accepts no liability for the application of any educational content in clinical or professional settings.

MyoStudyBuddy does not guarantee or promise any specific academic or professional outcomes. The Company makes no guarantees regarding:

Passing school exams

Passing licensing exams

Obtaining professional certification

Achieving academic success

Obtaining employment opportunities

Acceptance of educational hours by regulatory authorities

Educational results depend on many factors outside the control of MyoStudyBuddy including the user's individual preparation, academic background, and exam performance. Any testimonials or examples of results shared by MyoStudyBuddy are not guarantees of similar outcomes.

Study guides, mock examinations, practice stems, and other educational materials provided by MyoStudyBuddy are independently created educational resources.

These materials are developed from scratch using general subject knowledge and educational references. Materials may reference textbooks, handbooks, and publicly available academic resources to create educational study tools.

These materials are not copies of official licensing examinations and are not affiliated with any licensing board, regulatory authority, or examination provider. Practice questions and mock exams are intended solely for study preparation and may not reflect actual examination content. MyoStudyBuddy makes no representation that its materials will replicate or predict the content of any official examination.

MyoStudyBuddy makes reasonable efforts to ensure the accuracy of educational materials provided through the platform. However, educational information may contain errors, typographical mistakes, or may become outdated over time as educational standards evolve.

This site and its course content may contain certain historical information which is provided for reference purposes only and may no longer be current. MyoStudyBuddy will make best efforts to review and update course content periodically but is not obligated to do so on any specific schedule.

Users acknowledge that materials are provided as supplementary study tools and that reliance on any content is at the user's own risk.

If a user identifies an error or outdated information, they may contact MyoStudyBuddy at myostudybuddy@gmail.com. MyoStudyBuddy reserves the right to update, revise, correct, or remove content at its discretion without notice and without liability.

The Services are provided on an "as is" and "as available" basis without representations, warranties, or conditions of any kind, either express or implied. To the fullest extent permitted by applicable law, MyoStudyBuddy expressly disclaims all warranties including but not limited to implied warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement.

MyoStudyBuddy does not guarantee or warrant that the Services will be uninterrupted, timely, secure, or error-free. MyoStudyBuddy does not warrant that results obtained through use of the Services will be accurate or reliable. MyoStudyBuddy does not guarantee compatibility with all devices or platforms.

You expressly agree that your use of, or inability to use, the Services is at your sole risk.

To the maximum extent permitted by applicable law, MyoStudyBuddy and its owners, directors, officers, tutors, employees, contractors, affiliates, agents, licensors, and suppliers shall not be liable for any injury, loss, claim, or damages of any kind arising from or in connection with the Services, including but not limited to:

Academic outcomes or exam results

Professional or clinical decisions made by users

Reliance on any educational materials or course content

Platform interruptions, outages, or technical failures

Loss of data or unauthorized access to data

Errors, inaccuracies, or omissions in any content

Actions or omissions of third-party platforms

Any indirect, incidental, punitive, special, or consequential damages of any kind

Lost profits, lost revenue, lost savings, or replacement costs

This limitation applies whether the claim is based in contract, tort including negligence, strict liability, or otherwise, even if MyoStudyBuddy has been advised of the possibility of such damages.

Where liability cannot legally be excluded, liability shall be limited to the amount paid by the user for Services within the previous thirty days.

Nothing in these Terms limits or excludes any rights you may have under the Consumer Protection Act 2002 (Ontario) or other applicable consumer protection legislation.

You agree to indemnify, defend, and hold harmless MyoStudyBuddy and its owners, directors, officers, instructors, tutors, employees, contractors, affiliates, agents, licensors, and suppliers from and against all losses, expenses, damages, costs, and legal fees including reasonable attorneys' fees, resulting from:

Any violation of these Terms

Any activity related to your account including negligent or wrongful conduct by you or any person accessing the Services using your credentials

Misuse of educational materials

Infringement of intellectual property rights

Unauthorized sharing or distribution of content

Any claim by a third party arising from your use of the Services

Your application of any educational content in a professional or clinical setting

This obligation survives termination of the agreement.

Users acknowledge that they do not rely solely on MyoStudyBuddy materials when making academic, clinical, or professional decisions. Users accept full and sole responsibility for their own educational preparation, professional conduct, and any outcomes resulting from the application of knowledge obtained through the Services.

Tutoring sessions may be delivered through online platforms including Google Classroom, Skool, LearnWorlds, or other digital platforms used for online instruction. The platform used for tutoring delivery may change at any time depending on operational requirements.

Users participating in tutoring services agree to the following policies.

Attendance and Punctuality

Students are expected to attend tutoring sessions at the scheduled time. If a student arrives late to a tutoring session, the session will proceed only for the remaining scheduled time. The full tutoring fee remains payable and sessions will not be extended beyond the scheduled end time. Repeated lateness may result in suspension or termination of tutoring services without refund.

Student Cancellation

Students who need to cancel or reschedule a tutoring session must provide a minimum of 24 hours notice. Cancellations made with less than 24 hours notice may result in forfeiture of the session fee. MyoStudyBuddy reserves the right to apply this policy at its discretion.

MyoStudyBuddy Cancellation

In the event that MyoStudyBuddy needs to cancel or reschedule a tutoring session, reasonable advance notice will be provided where possible. MyoStudyBuddy will make reasonable efforts to offer an alternative session time. MyoStudyBuddy is not liable for any losses resulting from cancelled sessions beyond the value of the session itself.

Payments for Tutoring Sessions

Tutoring payments may be requested through payment links provided via Square, Stripe, Interac e-Transfer, or cash payments where applicable. If payment is not received when requested, future tutoring sessions may not proceed until payment has been completed. MyoStudyBuddy reserves the right to suspend services for outstanding balances.

WhatsApp Communication

WhatsApp or messaging services may be used for general communication or coordination. Responses are provided based on availability and response times may vary. Messaging support is not guaranteed and does not constitute a formal support channel.

Tutoring sessions or educational sessions may be recorded by MyoStudyBuddy for educational or quality purposes. By participating in tutoring sessions, users consent to the recording of audio, video, shared screens, and chat communications where permitted by law.

Recorded sessions remain the sole intellectual property of MyoStudyBuddy. Access to recordings may be limited and may expire approximately one month after the student completes their exam or tutoring program. 

Users are strictly prohibited from recording, screenshotting, screen capturing, or otherwise reproducing any tutoring session, live class, webinar, or digital content provided through the Services, whether in full or in part, without prior written consent from MyoStudyBuddy. Violation of this provision may result in immediate account termination and may be subject to legal action. 

Where MyoStudyBuddy offers subscription or membership-based services, the following terms apply:

Subscription fees are charged on a recurring basis at the interval specified at the time of purchase (monthly, quarterly, or annually)

Subscriptions renew automatically unless the user cancels prior to the renewal date

Users are responsible for cancelling their subscription before the renewal date if they do not wish to continue

MyoStudyBuddy will provide reasonable notice of upcoming renewals where required by applicable law

Refunds for auto-renewed subscriptions will not generally be issued unless required by law or at MyoStudyBuddy's sole discretion

Users are responsible for maintaining the confidentiality of their login credentials. Users must not share accounts or allow unauthorized individuals to access paid materials. You are solely responsible for all activity that occurs under your account. MyoStudyBuddy is not liable for any loss or damage arising from unauthorized account access resulting from your failure to protect your credentials. Accounts may be suspended or terminated if misuse or unauthorized sharing is suspected.

Accounts that remain inactive for twelve consecutive months may be removed. MyoStudyBuddy reserves the right to delete inactive accounts and remove associated materials without notice or liability.

MyoStudyBuddy reserves the right to suspend or permanently terminate a user's access to the Services at any time, with or without prior notice, for reasons including but not limited to:

Violation of these Terms

Suspected account sharing or unauthorized access

Abusive, disruptive, or harassing conduct toward staff, tutors, or other users

Non-payment of fees

Academic dishonesty

Any conduct deemed harmful to MyoStudyBuddy, its staff, or other users

Upon termination, the user's access to all materials and sessions will be removed immediately. Fees already paid are non-refundable upon termination except where otherwise required by applicable law. MyoStudyBuddy shall not be liable to you or any third party for any termination of your access.

All materials available through MyoStudyBuddy are protected by Canadian copyright and intellectual property laws.

Users are granted a limited, non-exclusive, non-transferable personal license to access and download one copy of materials for their own individual non-commercial educational use only. This is the grant of a license, not a transfer of title. Under this license you may not:

Modify or copy the materials beyond personal study use

Use the materials for any commercial purpose or public presentation

Reproduce, distribute, upload, share, resell, or sublicense materials in any form

Share login credentials or allow others to access materials through your account

Remove any copyright or proprietary notices from the materials

Mirror materials on any other server or platform

Attempt to decompile, reverse engineer, or rebuild any product or material

This license may be terminated immediately if you violate any of these restrictions. Upon termination you must destroy any downloaded materials in your possession whether in electronic or printed form.

In addition to other restrictions set out in these Terms, you are prohibited from using the Services or any content for any of the following purposes:

Any unlawful purpose or to solicit others to perform unlawful acts

Violating any applicable international, federal, provincial, or local laws or regulations

Infringing upon or violating the intellectual property rights of MyoStudyBuddy or any third party

Harassing, abusing, insulting, threatening, defaming, or discriminating against any person based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability

Submitting false, misleading, or fraudulent information

Uploading or transmitting viruses, malware, or any malicious code that may affect the functionality of the Services or any related system

Collecting or tracking personal information of other users

Spamming, phishing, scraping, or crawling any part of the platform

Interfering with or circumventing the security features of the Services

Impersonating any person or entity or misrepresenting your affiliation with any person or entity

Using the Services to complete academic work for another person or to facilitate academic dishonesty

Any obscene, immoral, or objectionable purpose

MyoStudyBuddy reserves the right to terminate your access for violation of any prohibited use without notice and without refund.

If you submit content, feedback, ideas, suggestions, or other materials to MyoStudyBuddy through any channel including community forums, messaging, or email, you agree that MyoStudyBuddy may use, edit, copy, publish, or distribute that content at any time without restriction or compensation to you. MyoStudyBuddy is under no obligation to maintain submissions in confidence or to respond to them.

You are solely responsible for any content you submit. You represent that your submissions do not violate any third party rights and do not contain unlawful, offensive, or harmful material. MyoStudyBuddy may but is not obligated to monitor, edit, or remove submitted content at its sole discretion without notice or liability.

Users must comply with the academic integrity policies of their educational institutions. MyoStudyBuddy materials may not be used for cheating, impersonation, or completing academic work for another person. MyoStudyBuddy is not responsible for any consequences arising from a user's violation of institutional academic integrity policies.

Users must not attempt to bypass, disable, or interfere with any security features or systems associated with the Services. Any unauthorized access or interference may result in immediate account termination and may be reported to appropriate authorities.

All fees and transactions processed through MyoStudyBuddy are in Canadian dollars (CAD) unless otherwise stated at the time of purchase.

Payments are processed through third-party providers including Stripe and LearnWorlds. MyoStudyBuddy does not store or control users' credit card or banking information. MyoStudyBuddy is not responsible for payment processor errors, unauthorized charges, banking errors, declined payments, or data breaches occurring within third-party payment systems. Any concerns regarding payment processing should be directed to the applicable payment provider.

Services may rely on third-party platforms including LearnWorlds, Google Classroom, Skool, Stripe, and other service providers. MyoStudyBuddy is not responsible for outages, platform security issues, technical failures, data loss, or policy changes occurring within those third-party services. Your use of any third-party platform is subject to that platform's own terms and policies.

Due to the digital nature of educational materials, all purchases are generally non-refundable.

Refunds may be considered in limited circumstances such as duplicate payments or confirmed technical access issues that MyoStudyBuddy is unable to resolve within a reasonable timeframe.

Refund requests must be submitted within seven days of purchase to myostudybuddy@gmail.com with a clear description of the issue. MyoStudyBuddy reserves the right to approve or decline refund requests at its sole discretion, subject to applicable Ontario consumer protection law.

MyoStudyBuddy collects and uses personal information in accordance with applicable Canadian privacy legislation, including the Personal Information Protection and Electronic Documents Act (PIPEDA).

By using the Services, users consent to the collection, use, and storage of personal information as described in MyoStudyBuddy's Privacy Policy. Users may contact myostudybuddy@gmail.com regarding any privacy-related inquiries. Your submission of personal information through the platform is governed by MyoStudyBuddy's Privacy Policy.

These Terms are governed by the laws of Ontario, Canada, and applicable federal laws of Canada. Any disputes not resolved through arbitration shall be subject to the exclusive jurisdiction of the courts of Ontario.

Any cause of action or claim you may have arising out of or relating to these Terms or the Services must be commenced within one year after the cause of action or claim arises. Claims not brought within this period are permanently barred. This limitation applies to the fullest extent permitted by Ontario law.

In the event of a dispute arising from these Terms or the Services, both parties agree to first attempt to resolve the matter through good faith informal negotiation. Either party may initiate this process by sending written notice to the other party describing the nature of the dispute and the resolution sought.

If the dispute is not resolved through informal negotiation within 30 days of written notice, either party may pursue resolution through mediation by a mutually agreeable mediator in Ontario, Canada. Each party shall bear its own costs of mediation including its own legal fees and an equal share of mediator fees.

If mediation is unsuccessful, disputes shall be finally resolved by binding arbitration pursuant to the Arbitration Act (Ontario). The place of arbitration shall be Ontario, Canada. The language of arbitration shall be English.

Nothing in this clause prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction where necessary to protect intellectual property or confidential information.

Users agree that any dispute will be resolved on an individual basis and not as part of a class action, collective action, or representative proceeding.

If a dispute between a user and MyoStudyBuddy proceeds to formal arbitration or litigation and is resolved entirely in favour of MyoStudyBuddy, MyoStudyBuddy may seek reimbursement of reasonable legal costs from the user, subject to the discretion of the arbitrator or court and applicable Ontario law.

This clause does not apply to disputes brought in good faith where the user has a reasonable basis for their claim, even if the claim is ultimately unsuccessful.

MyoStudyBuddy shall not be liable for any delay or failure to perform its obligations caused by events beyond its reasonable control including but not limited to natural disasters, internet outages, government restrictions, public health emergencies, or failures of third-party platforms.

MyoStudyBuddy may modify, suspend, or discontinue any aspect of the Services at any time without notice and without liability to you.

Failure by MyoStudyBuddy to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. No course of conduct between the parties shall act to modify any provision of these Terms.

The headings and section titles used in these Terms are included for convenience and reference only. They do not limit, define, or otherwise affect the interpretation or scope of the provisions they describe.

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law. The unenforceable portion shall be deemed severed from these Terms and such determination shall not affect the validity or enforceability of any remaining provisions.

These Terms together with the Privacy Policy constitute the entire agreement between you and MyoStudyBuddy regarding the Services and supersede all prior or contemporaneous agreements, communications, and proposals whether oral or written. Any ambiguities in the interpretation of these Terms shall not be construed against MyoStudyBuddy as the drafting party.
